GOLDENSTATE WEALTH MANAGEMENT, LLC

FORM CRS – CUSTOMER RELATIONSHIP SUMMARY

Effective Date:

Introduction

Goldenstate Wealth Management, LLC (“GWM”) is a Registered Investment Adviser with the State of Texas. We provide fee-based investment advisory and financial planning services to individuals and families

Brokerage and advisory services are different, and fees differ. Free and simple tools to research firms and financial professionals are available at: www.Investor.gov/CRS.

1. What investment services and advice can you provide me?

We offer:

  • Ongoing portfolio management (discretionary or non-discretionary)

  • Financial planning and retirement analysis

  • 401(k)/held-away account guidance

  • Real estate wealth strategy

  • Insurance coordination through a separate, affiliated insurance entity

Account Monitoring If you engage us for portfolio management, we monitor accounts on an ongoing basis and review portfolios at least quarterly.

Investment Authority You may allow us to manage accounts discretionarily (we place trades for you) or non-discretionarily (you approve trades).

Investment Types We Use We primarily utilize ETFs, mutual funds, individual stocks and bonds, cash positions, and money market funds, and may occasionally use alternatives when appropriate.

Account Minimums We do not have strict account minimums, but our services work best for households with sufficient assets or planning needs to benefit from ongoing advice.

Conversation Starter: “What is the most appropriate type of service for my situation—discretionary management, planning only, or both?”

2. What fees will I pay?

Portfolio Management (AUM Fees)

  • 1.00% annually on the first $1,000,000

  • 0.75% annually from $1,000,001 to $5,000,000

  • 0.50% annually above $5,000,000 Fees are billed quarterly, in arrears, and typically deducted directly from your account.

Other Fees You May Pay

  • Comprehensive financial plan: $1,250 – $2,500

  • Ongoing planning subscription: $100 – $200/month

  • 401(k)/held-away advice: $400 – $1,200 annually

  • Hourly planning (if used): $150 – $250 per hour

Third-Party Fees

You will also pay ETF/mutual fund internal expenses, custodian or transaction fees (if any), and account maintenance or wire fees. We do not receive any portion of these.

Conflicts of Interest

We are incentivized to increase assets under management, because we charge AUM-based fees.

Conversation Starter:

“Help me understand how fees affect my account and what I can do to reduce costs.”

3. What are your legal obligations to me? How else does your firm make money?

When we act as your investment adviser, we are held to a fiduciary standard. This means we must act in your best interest, avoid or disclose conflicts of interest, and provide advice with care, competence, and loyalty.

Insurance Activity

Our advisory personnel may be licensed to sell insurance through an affiliated, non-RIA entity. If you purchase insurance products, we may receive commissions. This creates a conflict of interest, but insurance sales are separate from the RIA and you are never required to buy insurance from us.

Conversation Starter: “How do you manage conflicts of interest that might impact the advice you provide?”

4. Do you or your financial professionals have legal or disciplinary history?

No. Goldenstate Wealth Management and its financial professionals have no disciplinary history. You can research us or your financial professional at: www.Investor.gov/CRS.

Conversation Starter: “Has your firm ever been disciplined by a regulator?”
